| WPC CLUB, INC. UNIFORM BY-LAWS FOR REGIONS ARTICLE I – NAME AND PURPOSE
Section 1 The name of this Region shall be GREAT LAKES REGION, of the WPC Club, Inc.
Section 2 This Region shall serve as an active unit of the WPC Club, Inc. in the furtherance of the purposes and objectives of said WPC Club, Inc.
ARTICLE II – EXECUTIVE BOARD
Section 1 The Executive Board of the region shall consist of the officers of the region and one (1) other elected member.
Section 2 The Executive Board shall have power to proceed in any manner as may in their judgment, serve the interests of the region. The decision of a majority of the Executive Board on any question shall be binding until the next regular or special meeting of the region, when a majority may approve, nullify or amend such decisions.
Amend 11/88 Any policy setting decisions enacted by the GLR Executive Board must be brought before the membership within sixty (60) days of that Executive Board meeting and be approved, nullified or amended.
ARTICLE III – OFFICERS
Section 1 The elected officers of this region shall be a President; Vice President; Secretary-Treasurer, which office may be held by two people; and a Regional Representative to the National Club. Said officers shall hold office for two (2) years from the date of installation or until their successors are duly elected and installed. Additional offices may be created by the Executive Board as the need may arise. These may be filled by election or appointment.
Section 2 The manner for the election of officers may be prescribed by the Executive Board of the Region. All members of the region in good standing shall be given proper notice and an opportunity to vote.
Amend 11/94 No later than the first week of September of each year ending with an even number, the regional president will appoint three (3) members to serve as the Election Committee, one of which shall be designated as Chairperson.
Amend 11/94 You may nominate yourself or other members by US mail, telephone or in person from October 1 thru 30 of each year ending with an even number, by mailing name of the nominee, address, office nominated for and indicating whether that person is willing to accept that nomination, to the Election Committee Chairperson. Nominations must be postmarked no later than October 30th of that year.
Amend 11/94 You may nominate yourself or other members verbally during the open nominations portion of the November General Membership Meeting of each year ending in an even number. In the event that the nominee is not present, nominator must clearly indicate that the nominee has been contacted and positively accepts the nomination.
Amend 11/94 The ballot with the list of candidates and the office they seek will be printed in the December Pentagram of each year ending in an even number. This issue will be mailed the first week of December to all members in good standing at that time.
Amend 11/88 There will be one (1) ballot, one (1) vote per dues paying member.
Amend 11/88 When received by the dues paying member, he/she shall remove the ballot from the Pentagram, vote, fold the ballot, affix proper postage and mail to the Election Committee Chairperson, whose name is printed on the reverse side of the ballot.
Amend 11/94 All members of the Election Committee will open ballots and tabulate them. The results will be announced at the January General Membership Meeting of the GLR of each year ending in an odd number and printed in the February issues of the Pentagram of the same year.
Amend 11/94 The new Executive Board will assume office at the February general membership meeting of each year ending in an odd number.
ARTICLE IV – DUTIES OF OFFICERS
Section 1 PRESIDENT – The Regional President shall preside at all meetings of the region members and of the Executive Board. In his/her absence, the Vice President shall preside at any such meetings.
VICE PRESIDENT – The Vice President shall preside at all meetings of the members and Executive Board upon the absence of the president.
SECRETARY – The Secretary shall handle all official correspondence of the region and shall keep minutes of the meetings of the region members and of the Executive Board.
Amend 11/88 Maintain accurate, legible copies of all business meetings throughout her/his term in office and that she/he pass these on to her/his successor along with all copies of meeting minutes she/he received from her/his predecessor.
TREASURER – The Treasurer shall manage the financial affairs of the region and shall be custodian of the region funds. She/he shall render a financial report at the annual meeting of members and whenever the President or Executive Board shall request a report. She/he shall collect all dues payable by region members and require the showing of a valid National membership card at the time, which cars she/he shall initial and return to the member.
REGIONAL MEMBER – The representative shall report monthly activities of the region to the editor of the national publication.
Amend 11/88 All outgoing officers must turn over all club property and all club records in their possession to their successors at the time new officers take office. Any subsequent contact or correspondence they receive, pertaining to club matters, must also be forwarded to their successor without delay.
ARTICLE V – MEMBERS
Section 1 Members in good standing of the WPC Club, Inc. may become members of this region.
Section 2 Upon receipt of a properly executed application and upon submission of a currently paid up dues card in the National WPC Club, Inc., new members shall be accepted or rejected by the Executive Board or membership committee if one exists.
Amend 11/88 All membership renewals shall be reviewed annually and be accepted or rejected by the Executive Board.
Section 3 DUES – The amount of dues payable to the regional treasurer shall be fixed by the Executive Board from time to time at its discretion. All payments of dues shall be made to the regional treasurer.
Section 4 TERMINATION OF MEMBERSHIP – The membership of any regional member may be terminated by an unanimous vote of the Executive Board of the region, for conduct unbecoming of a member of the WPC Club, Inc., or other cause upon giving the member in question full opportunity to hear and reply to the charges or reasons for such action. This action shall be subjected to review by the National WPC Club, Inc., Board of Directors.
Section 5 RESIGNATION OF MEMBERSHIP – Any regional members may resign by tendering his resignation in writing to the Executive Board, but such resignation shall not relieve the member from payment of any dues in arrears.
ARTICLE VI – MEETING OF MEMBERS
Section 1 The affairs of this region shall be conducted at all times in such a manner as to coincide with the purposes and aims of the WPC Club, Inc. of which the region is a subdivision. Any official reports to the National Board of Directors of the WPC Club, Inc., must have the approval of the Executive Board of this region.
Section 2 Regional members shall hold at least three (3) meetings annually for the transaction of club business. On all years ending with an even number, one (1) such meeting (in November) will be held to also include the business of conducting nominations for the election of club officers. Special meetings may be called by the Regional President or, upon the signed request of the other members of the Executive Board or, any three (3) members of the region, to resolve a special problem not covered by the WPC Club, Inc. National Constitution, GLR By-laws or club policy.
Amend 11/88 At least two (2) weeks written notice shall be given to all region members of all meetings so called.
ARTICLE VII – NATIONAL AND REGIONAL REQUIREMENTS
Section 1 The affairs of this region shall be conducted at all times in such a manner as to coincide with the purposes and aims of the WPC Club, Inc. of which this region is a subdivision.
Section 2 All members, officers and Executive Board of this region shall be bound by any sections in the National By-laws that apply to all members of the National WPC Club, Inc. Regional members must first be members of the National WPC Club, Inc.; second, members of the region.
Section 3 Official judging forms of the WPC Club, Inc., may be used for regional car shows and meets. Judging forms will be provided by the National WPC Club, Inc., free of charge.
Section 4 Official judging forms of the WPC Club, Inc., must be used for any car show and meet that is open to all National members and sponsored by this region.
Section 5 This region shall not incur any indebt ness in the name of the WPC Club, Inc., without prior approval of the National Board of Directors.
Section 6 A copy of all newsletters and notices sent to the members of the region shall also be sent to the President of the WPC Club, Inc.
Amend 11/88 The most recent issue of the GLR Roster members and cars shall contain printed copies of the Constitution of the WPC Club, Inc. and the WPC Club GLR By-laws. All new members of the GLR shall receive a copy within ninety (90) days of becoming a member.
ARTICLE VIII – APPROVAL OF BY-LAWS
Section 1 Before these by-laws shall become effective, they must be approved by a two thirds (2/3) vote of the regional Executive Board.
ARTICLE IX – AMENDMENTS TO BY-LAWS
Section 1 These by-laws may be amended by a majority of the Executive Board of the region and approval of the National Board of Directors.
